Terms & Conditions

01 Quotations & Pricing

• All quotations are valid for 7 days from the date of issue unless otherwise stated in writing.
• Prices are in Saudi Riyals (SAR) and are exclusive of VAT (15%) unless explicitly stated otherwise.
• Prices are subject to change based on international market fluctuations, supplier costs, and exchange rates.
• A formal Purchase Order (PO) is required to confirm any quotation.

02 Payment Terms

• Standard payment terms are 100% advance payment for new customers unless a credit facility has been agreed in writing.
• Approved credit customers: net 30 days from invoice date unless otherwise agreed.
• Late payments are subject to a finance charge of 1.5% per month on the outstanding balance.
• Gulf Union Ozone reserves the right to withhold delivery or cancel orders in the event of overdue payments.
• All bank charges and transfer fees are to be borne by the buyer.
• VAT at 15% will be applied to all invoices in accordance with the Saudi Zakat, Tax and Customs Authority (ZATCA) regulations.

03 Orders & Cancellations

• Orders are binding once a written acknowledgement has been issued by Gulf Union Ozone.
• Cancellation of confirmed orders may be subject to a restocking fee of up to 25% of the order value.
• Special-order or imported items that have already been shipped from the origin cannot be cancelled.
• Gulf Union Ozone reserves the right to reject or limit any order at its sole discretion.

04 Delivery & Lead Times

• Delivery timelines are estimates and are not guaranteed unless expressly confirmed in the order acknowledgement.
• Risk of loss or damage passes to the buyer upon delivery to the agreed delivery point or handover to the carrier.
• Delivery charges, if applicable, will be stated on the quotation or invoice.
• Gulf Union Ozone is not liable for delays caused by force majeure, port congestion, customs hold, or other circumstances beyond our control.

05 Inspection, Returns & Warranty

• The buyer must inspect goods upon delivery and report any defects, shortages, or damage within 3 working days of receipt.
• Returns are accepted only for items that are defective, incorrectly supplied, or non-conforming — subject to prior written approval.
• Items must be returned in their original packaging and condition, unused, within 14 days of the approved return authorisation.
• Warranty claims are subject to the manufacturer's warranty terms. Gulf Union Ozone will assist in processing warranty claims with the manufacturer.
• Gulf Union Ozone provides no express warranty beyond that offered by the original manufacturer.

06 Material Documentation

• Material Test Certificates (MTCs) and Certificates of Conformance are available for all SAEP-347 compatible products upon request.
• Documentation requests must be specified at the time of order. Retroactive documentation requests may incur additional charges.
• Gulf Union Ozone accepts no liability for decisions made by the buyer based on documentation provided by the original manufacturer.

07 Limitation of Liability

• Gulf Union Ozone's total liability to the buyer, whether in contract, tort, or otherwise, shall not exceed the invoice value of the goods giving rise to the claim.
• Gulf Union Ozone shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profit or production downtime.
• The buyer is solely responsible for verifying product suitability for their specific application, process conditions, and compliance requirements.

08 Confidentiality

• All pricing, quotations, and technical proposals provided by Gulf Union Ozone are confidential and may not be shared with third parties without written consent.
• Gulf Union Ozone will not disclose buyer-specific requirements or commercial arrangements to any third party without prior written authorisation.

09 Governing Law & Disputes

• These terms are governed by the laws of the Kingdom of Saudi Arabia.
• Any dispute arising from or in connection with these terms shall first be referred to amicable negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Jeddah, Saudi Arabia.
• In the event of any inconsistency between the Arabic and English versions of these terms, the Arabic version shall prevail.

10 Amendments

• Gulf Union Ozone reserves the right to update these terms at any time. The current version is always published at www.gulfunionozone.com/terms.html.
• Continued placement of orders after any update constitutes acceptance of the revised terms.
